Terms of Use

Last Updated: September 2026

This document is available in English only.

1. Introduction

These Terms of Use (the “Terms”) govern access to and use of bethebossclub.com (the “Website”), the “Be the Boss” partner program (the “Program”), and the related technology, tools, dashboards, portal creation functionality, marketing tools and other services made available through the Website (collectively, the “Services”).

The Website and the Program are provided by Play Media Limited, a limited liability company registered in the Autonomous Island of Anjouan, Union of Comoros, with company registration number 16288 and registered address at Hamchako, Mutsamudu, Autonomous Island of Anjouan, Union of Comoros (the “Company”, “Play Media”, “we”, “us” or “our”).

Play Media is licensed and regulated by the Government of the Autonomous Island of Anjouan, Union of Comoros, under Internet Gaming License No. ALSI-202605064-FI2 covering B2C, B2B and whitelabeling activities.

The Program enables participants (each a “Boss”) to create and promote branded portals through which users may access gaming and related services provided by Play Media (each a “Boss Portal”).

A Boss Portal forms part of Play Media's centrally operated environment. Creating, customising, managing or promoting a Boss Portal does not establish an independent gaming operation and does not make the Boss the operator or provider of the gaming services accessible through the Boss Portal.

Users accessing gaming services through a Boss Portal are users of Play Media and are subject to the applicable player-facing terms and policies made available by Play Media. The Boss does not enter into a gaming relationship with such users.

The technology environment through which the Services and Boss Portals are made available is referred to in these Terms as the “Platform.”

The Platform and Boss Portals operate on a non-custodial basis. Bosses do not hold, have access to or exercise control over player funds.

By creating an account, participating in the Program, creating or managing a Boss Portal, purchasing any package or otherwise accessing or using the Services, you acknowledge that you have read, understood and agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Services.

2. The Be the Boss Program

2.1 Role of the Boss

The Program allows a Boss, subject to the functionality made available by the Company from time to time, to:

  • create and configure a Boss Portal;
  • access business dashboards, statistics and analytics relating to the Boss Portal;
  • configure and test portal functionality;
  • conduct permitted marketing, promotional and user-acquisition activities;
  • refer potential users to the Boss Portal;
  • onboard and manage other Bosses or affiliates where such functionality is made available;
  • purchase and use additional marketing, technology, AI or other packages offered through the Services; and
  • use other tools and functionality made available to Bosses from time to time.

The Boss is responsible for the promotion, marketing and user-acquisition activities undertaken by or on behalf of the Boss.

All Boss Portal functionality remains subject to the technical limitations, requirements, policies and compliance standards determined by the Company.

2.2 Role of Play Media

Play Media remains the player-facing operator of the gaming services made available through Boss Portals.

Nothing in this Agreement transfers the operation or provision of gaming services to a Boss.

2.3 Limitations on the Boss's Role

A Boss does not independently operate or provide the gaming services accessible through a Boss Portal and must not:

  • represent itself as the operator of such gaming services or as the holder of any gaming licence held by Play Media; or
  • hold, receive, access or control player funds.

2.4 Independent Relationship

A Boss acts as an independent business and marketing partner.

Nothing in these Terms creates any partnership, joint venture, agency, fiduciary relationship, franchise or employment relationship between the Boss and the Company.

The Boss has no authority to bind or make commitments on behalf of the Company.

3. Eligibility and Account

3.1 Eligibility

To participate in the Program, a Boss must:

  • be at least 18 years old or the age of legal majority in the jurisdiction from which the Boss operates, whichever is higher;
  • have legal capacity to enter into these Terms;
  • comply with any verification requirements applicable under these Terms; and
  • participate only where participation in the Program is lawful.

Where an account is created on behalf of a legal entity, the person creating the account represents and warrants that they have authority to bind that entity to these Terms.

3.2 Account Information

The Boss must ensure that all information provided to the Company is accurate, complete and current.

The Boss is responsible for maintaining the confidentiality and security of its login credentials and for all activity conducted through its account.

The Boss shall notify the Company promptly upon becoming aware of any unauthorised access to or use of its account.

3.3 Account Approval

Registration does not create an unconditional right to participate in the Program.

The Company may accept, reject, restrict or condition participation based on compliance, regulatory, technical, commercial, fraud-prevention, reputational or other legitimate considerations.

4. Limited Right to Use the Services

4.1 Limited Licence

Subject to continued compliance with these Terms, the Company grants the Boss a non-exclusive, non-transferable, revocable and limited licence to access and use the Services and related technology solely for participation in the Program.

No rights are granted except those expressly stated in these Terms.

4.2 No Transfer of Ownership

Nothing in these Terms grants the Boss any ownership interest in:

  • the Website;
  • the Platform or underlying technology;
  • software, APIs or infrastructure;
  • Company trademarks or branding;
  • games or gaming content;
  • Company domains or subdomains;
  • G Coin or other digital assets except to the extent separately acquired by the Boss; or
  • any other intellectual property belonging to the Company, its affiliates, licensors or third-party providers.

4.3 Restrictions

The Boss shall not:

  • copy, modify, adapt, decompile, reverse engineer or attempt to derive source code from any part of the Services;
  • circumvent technical or security restrictions;
  • interfere with the operation or security of the Services;
  • introduce malicious software, automated attacks or harmful code;
  • resell, sublicense or provide unauthorised access to the Services;
  • falsely represent ownership of Company technology or intellectual property;
  • use the Services for fraudulent, unlawful or abusive purposes; or
  • use the Services in any manner that could expose the Company, its affiliates, service providers or users to legal, regulatory, operational or reputational risk.

5. Boss Portals, Subdomains and Domains

5.1 Boss Portal

The Company may make available a Boss Portal under a Company-controlled subdomain or through such other domain arrangements as may be offered by the Company.

The Boss may customise the Boss Portal only through the functionality made available by the Company.

The underlying technology, infrastructure and player-facing gaming environment remain under the control of the Company and/or its technology providers.

The Company may charge fees for creating, operating, maintaining, renewing, licensing, validating or configuring a Boss Portal, domain, subdomain or related service. Applicable fees, including renewal and licensing fees, will be disclosed through the Website, Platform, package, checkout, dashboard or other commercial terms before payment is due.

5.2 Subdomains

Any subdomain, URL or web address provided by the Company in connection with the Program, including a subdomain such as boss.bethebossclub.com or another subdomain, URL or web address designated by the Company, remains the property of the Company or its applicable licensor.

Unless otherwise specified in the applicable package or commercial terms, the Company grants the Boss a limited, non-exclusive, non-transferable and revocable right to use the subdomain for a period of twelve (12) months.

Continued use following that period may be subject to renewal, approval and applicable fees, including domain renewal, licensing, regulatory, technical, maintenance or other charges. Any applicable charges will be displayed to the Boss through the Website, Platform, applicable package, checkout process, dashboard or other commercial terms.

5.3 Monitoring and Abnormal Activity

The Company may monitor traffic, activity patterns and technical usage associated with Boss Portals.

The Boss shall not engage in artificial, fraudulent or automated activity, including bot traffic, traffic manipulation, fake registrations, incentivised non-genuine users or other activity materially inconsistent with genuine use (“Abnormal Activity”).

Where Abnormal Activity is detected or reasonably suspected, the Company may suspend, disable, restrict, reclaim or terminate the relevant Boss Portal or subdomain without liability.

6. Sub-Partners and Affiliates

Where enabled by the Services, a Boss may onboard or manage other Bosses (“Sub-Partners”) and may engage affiliates, influencers, media buyers or other marketing partners.

Each Sub-Partner participating as a Boss must comply with the terms applicable to participation in the Program.

The Boss shall not use Sub-Partners or affiliates to circumvent these Terms, jurisdictional restrictions, marketing requirements or other Company policies.

The Company may request information regarding Sub-Partners, affiliates or other traffic sources and may restrict or terminate relationships that create legal, regulatory, compliance, fraud, security or reputational concerns.

7. Marketing and Promotion

7.1 Boss Responsibility

All marketing, advertising, promotional, traffic-acquisition and user-outreach activities undertaken by or on behalf of a Boss are the responsibility of the Boss.

The Boss must ensure that such activities comply with:

  • applicable advertising and marketing laws;
  • applicable gaming advertising restrictions;
  • consumer-protection requirements;
  • age-targeting restrictions;
  • applicable social-media and advertising-platform rules;
  • these Terms; and
  • any marketing guidelines communicated by the Company.

7.2 Marketing Standards

A Boss must not:

  • make false, misleading or deceptive claims;
  • misrepresent the nature of the Program or Boss Portal;
  • represent itself as Play Media or as the licensed gaming operator;
  • target persons prohibited from accessing gaming services;
  • target Restricted Jurisdictions;
  • make unauthorised regulatory or licensing claims;
  • guarantee winnings, income, returns or financial results;
  • use unlawful, aggressive or misleading marketing techniques; or
  • promote G Coin as an investment or guaranteed source of financial return.

7.3 Third-Party Platforms

The Boss is responsible for complying with the rules of any third-party platform used for marketing or promotion.

The Company does not guarantee that any advertisement, page, campaign, account, domain or content will be approved or accepted by Google, Meta, X, TikTok, Apple or any other third-party service.

Suspension, rejection, restriction or termination by a third-party platform does not create liability for the Company.

7.4 Company Marketing Materials

Marketing materials provided by the Company may be used only for their intended purpose and in accordance with any instructions provided.

Unless expressly stated otherwise, such materials are provided “as is”. Their provision does not constitute a guarantee that their use will comply with every applicable local law or third-party platform policy.

7.5 Traffic Source Disclosure

Upon reasonable request, the Boss shall provide accurate information regarding its traffic sources, including advertising channels, affiliates, media buyers, influencers and other traffic providers.

Failure to provide such information or provision of materially false or misleading information may constitute a material breach of these Terms.

8. AI Marketing and Automation Tools

8.1 AI Tools

The Company may offer paid or free packages incorporating artificial intelligence, automated agents, content generation, analytics, social-media management, automated publishing and other marketing functionality (collectively, “AI Tools”).

Different packages may provide different AI Tools, features, supported platforms, levels of automation, posting frequencies, usage limits and other functionality, as described through the Website, Platform, dashboard, checkout process or other applicable commercial terms.

AI Tools may rely on third-party artificial-intelligence providers, social-media platforms, APIs and other technology providers. The Company may change providers, integrations, features or functionality from time to time where reasonably necessary for technical, operational, commercial, legal, regulatory or compliance reasons.

Use of an AI Tool is optional and requires activation by the Boss.

8.2 Activation and Connected Accounts

By activating an AI Tool, the Boss authorises the Company and its applicable technology and service providers to access, process and use the information and permissions reasonably necessary to provide the selected functionality.

Where the Boss connects a social-media or other third-party account, the Boss represents and warrants that:

(a) it owns or is duly authorised to control and connect the relevant account;

(b) it has authority to grant the permissions requested by the applicable integration;

(c) connection and use of the account through the AI Tool does not breach any agreement, restriction or obligation applicable to the Boss; and

(d) it will maintain appropriate access, administrator permissions, authentication methods and recovery credentials for the connected account.

The Boss authorises the AI Tool and the relevant service providers to interact with a connected account within the permissions granted by the Boss and the functionality enabled through the Services.

The Boss may be required to provide separate consent or authorisation when connecting a third-party account or enabling particular automated functionality. Purchase or activation of an AI package does not by itself constitute authorisation to connect a particular third-party account or enable automated publishing where separate authorisation is presented through the Services.

8.3 AI-Generated Content

AI Tools may generate, adapt, select, recommend, schedule or otherwise process marketing materials, including posts, captions, images, advertisements, promotional copy, hashtags, campaign concepts and other content (“AI-Generated Content”).

Artificial-intelligence systems are probabilistic. AI-Generated Content may therefore be inaccurate, incomplete, misleading, unsuitable, repetitive, offensive, infringing, non-compliant or inconsistent with applicable law, advertising requirements, platform policies or the Boss's intended message.

The Company does not warrant that AI-Generated Content is accurate, complete, lawful, suitable for a particular audience or campaign, compliant with third-party platform policies, free from third-party claims, or capable of achieving any particular commercial result.

Where the applicable functionality permits review or editing before publication, the Boss is responsible for using the available controls as it considers appropriate.

8.4 Automated Publishing

Certain AI Tools may permit AI-Generated Content to be scheduled or published automatically through connected accounts without the Boss individually approving each publication immediately before it is posted.

Where the Boss activates automated publishing, the Boss authorises the AI Tool to generate, schedule and publish content through the connected account within the functionality, frequency and settings applicable to the selected package and acknowledges that content may be published without further notice or approval immediately before publication.

The Boss remains responsible for monitoring its connected accounts and taking appropriate action after publication where necessary.

The availability and functionality of automated publishing may vary depending on the applicable integration, technical capabilities and changes to third-party platforms.

8.5 Third-Party Platforms and Account Risks

Connected social-media and other third-party accounts remain subject to the terms, policies, technical requirements and enforcement practices of the relevant third-party platform (“Platform Rules”). The Boss is responsible for complying with applicable Platform Rules.

The Boss acknowledges that use of an AI Tool, including automated content generation or publication, may result in action being taken by a third-party platform, including rejection or removal of content, reduced visibility, limitations on functionality, warnings, account restrictions, suspension or termination.

By activating the relevant integration, the Boss acknowledges and accepts these risks.

To the fullest extent permitted by applicable law, the Company shall not be liable for any action, decision or enforcement measure taken by a third-party platform in relation to a connected account, or for any resulting loss of content, followers, reach, engagement, account history, data, advertising expenditure, revenue, business opportunities, goodwill or other commercial value.

The Company does not guarantee that any account, content, access right, verification status, follower base or other functionality can be restored following action by a third-party platform.

8.6 Third-Party AI Providers

Certain AI Tools may rely on third-party artificial-intelligence providers or other providers selected by the Company from time to time.

Such providers may impose their own terms, usage policies, restrictions and technical limitations and may restrict, suspend or discontinue access to their technology.

The Company does not control the underlying operation, availability, model behaviour or output of a third-party AI provider and is not responsible for interruptions, restrictions, errors or other consequences attributable to such provider.

8.7 Acceptable Use, Suspension and Disconnection

The Boss shall not use an AI Tool for unlawful, fraudulent, deceptive or abusive purposes, to generate or distribute prohibited content, impersonate others in a misleading manner, engage in spam or artificial engagement, circumvent Platform Rules or technical restrictions, infringe third-party rights, or otherwise use the AI Tool in a manner that may cause the Company or its providers to breach applicable law or contractual obligations.

The Boss may stop using an AI Tool or disconnect a connected third-party account through the functionality made available by the Company or the relevant third-party platform. Where automated publishing is enabled, the Company will provide or identify a reasonable method for disabling future automated publishing where technically supported.

Disconnection or disabling automated publishing does not necessarily remove content already published or reverse actions already carried out through the connected account.

The Company may apply technical or content safeguards and may restrict, suspend, disable or disconnect an AI Tool or integration where it reasonably believes that continued use creates legal, regulatory, security, technical, platform-policy, fraud, reputational or other material risk.

8.8 No Professional or Commercial Guarantee

AI-generated recommendations, analytics, forecasts, strategies and other outputs are provided as tools for informational and marketing-support purposes only and do not constitute legal, regulatory, financial, investment, tax or other professional advice.

The Company does not guarantee the effectiveness, profitability or commercial success of any content, marketing strategy, campaign or action generated or recommended by an AI Tool.

9. Statistics, Analytics and Dashboard

The Company may provide dashboards containing traffic data, player activity information, marketing statistics, performance information, attribution data, compensation information and other analytics.

Except for data expressly designated by the Company as authoritative for calculation of compensation, dashboard information is provided for informational purposes and may be subject to delays, adjustments, attribution differences or technical errors.

Where compensation is calculated using Company systems, the Company's records shall be the authoritative source for such calculation, except in the case of manifest error.

AI-generated analytics, recommendations, forecasts or insights are informational only and do not constitute financial, business, legal or investment advice.

10. Packages, Fees and Services

10.1 Packages and Fees

The Services may include free or paid packages relating to portal functionality, domains, marketing services, AI Tools, automation, analytics or other functionality.

The applicable features, price, billing period, renewal conditions and other commercial terms will be displayed at the time of purchase or otherwise communicated to the Boss.

Unless otherwise expressly stated:

  • fees are payable in advance;
  • fees are exclusive of applicable taxes;
  • activation may be subject to successful payment and verification;
  • purchased functionality may depend on third-party services; and
  • fees are non-refundable once the relevant service has been activated, except where required by applicable law.

The Company may change package pricing or functionality prospectively. Changes will not retroactively alter amounts already paid for an existing paid period unless required by law.

10.2 Payment Processing and Collection

Paid Services offered through the Platform, including subscription plans, AI marketing packages and other paid Services, may be provided by Play Media Limited or by third-party service providers.

Where Play Media Limited is the provider of the relevant Service, payments may be collected on its behalf by an affiliated entity acting as its authorised payment collection agent and/or processed through third-party payment service providers.

Accordingly, the name of an affiliated entity or third-party payment service provider may appear on the payment page, transaction record, receipt or payment card statement. Where payment is collected on behalf of Play Media Limited, such payment collection arrangement does not change the identity of Play Media Limited as the provider of the relevant Service.

Where a Service is provided by a third-party service provider, additional or separate terms and policies of that provider may apply.

11. Regulatory and Jurisdictional Compliance

11.1 Boss Jurisdiction

The Boss is responsible for determining whether participation in the Program, including its marketing and business activities, is lawful in the jurisdiction from which the Boss operates.

11.2 Restricted Jurisdictions

The Platform is restricted for gameplay in the following jurisdictions: Austria, Australia, France and its territories, Germany, the Netherlands and its territories, Estonia, Spain, the Union of Comoros, the United Kingdom, the United States and its territories, the State of Israel, any FATF blacklisted country, or any other jurisdiction designated as prohibited by the Anjouan Offshore Financial Authority or by the Company (the “Gameplay Restricted Jurisdictions”).

The restrictions above apply to gameplay and do not prevent a person located or residing in a Gameplay Restricted Jurisdiction from participating in the Program as a Boss, where permitted by the Company.

A Boss located or residing in a Gameplay Restricted Jurisdiction may access and use its Boss Portal for the purpose of configuring, managing and maintaining the Boss Portal and its functionality, accessing dashboards and analytics, conducting limited functionality testing, and marketing or promoting the Boss Portal exclusively to persons located in jurisdictions where such promotion is permitted.

Such Boss must not participate in gameplay, except to the extent necessary for functionality testing expressly permitted by the Company, or market, advertise, promote or otherwise target the Boss Portal or the gaming services accessible through it to persons located in a Gameplay Restricted Jurisdiction.

11.3 Changes in Jurisdictional Availability

The Company may restrict or discontinue the availability of the Program, Boss Portals or specific functionality in any jurisdiction where necessary or appropriate due to changes in law, licensing conditions, regulator requirements, service-provider requirements or risk considerations.

12. KYB, KYC and Compliance Verification

The Company applies a risk-based approach to verification.

A Boss may initially be required to provide basic identifying and contact information and, where applicable, basic company information.

The Company may request additional KYC, KYB or compliance information where reasonably required based on the nature or risk of the relationship, applicable law, sanctions or AML considerations, payment activity, unusual activity, regulatory requirements or requirements imposed by payment, gaming, technology or other service providers.

Additional information may include:

  • identity documents;
  • proof of address;
  • company registration documents;
  • directors and shareholders;
  • ultimate beneficial owners;
  • evidence of authority to act for a company;
  • source-of-funds or source-of-wealth information; or
  • other reasonably necessary compliance information.

The Company may conduct sanctions, PEP, adverse-media and other compliance screening.

The Boss must provide accurate information and promptly notify the Company of material changes.

Failure or refusal to provide information reasonably requested by the Company may result in restriction, suspension or termination.

13. G Coin and Digital Assets

Certain functionality accessible through Boss Portals may involve G Coin (G), the native utility token used within the Playnance ecosystem.

G Coin is intended for utility and ecosystem functionality and must not be represented by a Boss as an investment product or as providing any guaranteed financial return or appreciation.

The Boss shall not:

  • guarantee or imply future increases in the price or value of G Coin;
  • make speculative or misleading statements regarding G Coin;
  • engage in or encourage market manipulation;
  • provide financial or investment advice relating to G Coin; or
  • market participation in the Program primarily as an investment opportunity.

The acquisition, holding and use of G Coin may be governed by separate G Coin Terms, which form part of the applicable terms governing such activities.

In the event of conflict between this Section and the G Coin Terms in relation specifically to the acquisition, holding, transfer or use of G Coin, the G Coin Terms shall prevail.

Digital assets may be volatile and involve significant risks. Nothing made available through the Services constitutes financial, investment, legal or tax advice.

14. Boss Compensation

14.1 Compensation Framework

A Boss may be eligible to receive performance-based compensation derived from eligible activity generated through its Boss Portal, referrals or other qualifying activity, subject to the applicable commercial terms of the Program.

14.2 Applicable Commercial Terms

Applicable Platform fees, Boss compensation, calculation methodology, eligibility criteria, payment schedules, thresholds and other commercial terms may be displayed through the Website, Boss dashboard, applicable package or other commercial documentation.

Unless otherwise agreed in writing, the terms displayed by the Company shall govern compensation entitlements.

14.3 Adjustments

The Company may modify the compensation model prospectively, including commission rates, structures, tiers and incentive mechanisms, where reasonably necessary for legal or regulatory compliance, sustainability of the Program, commercial considerations or changes to the underlying business model.

The Company will use reasonable efforts to provide advance notice of material changes where practicable.

If a Boss does not accept a material change, the Boss may discontinue participation in the Program.

14.4 Promotional Incentives

The Company may offer temporary promotional or performance-based incentives. Such incentives may be subject to separate eligibility conditions, duration, limits or other terms.

No compensation or incentive constitutes a guarantee of future income or profitability.

15. Prohibited Conduct

The Boss shall not:

  • engage in fraud, deception, manipulation or abusive activity;
  • create fake or duplicate accounts;
  • manipulate traffic, statistics, referrals or compensation;
  • use bots or automated systems except functionality expressly authorised by the Company;
  • interfere with security or technical systems;
  • facilitate money laundering, sanctions evasion or other unlawful activity;
  • target minors;
  • circumvent jurisdictional or geolocation controls;
  • impersonate the Company or another person;
  • misuse Company intellectual property;
  • make false regulatory or licensing claims;
  • interfere with the Company's relationship with players or service providers; or
  • engage in conduct reasonably likely to harm the integrity, reputation, security or regulatory standing of the Company, the Program or the Platform.

16. Intellectual Property

All intellectual property and other rights in the Website, Services, Platform, technology, software, APIs, databases, data, systems, infrastructure, designs, content, domains, subdomains, URLs, trademarks, logos, branding, tools, features and other materials made available through or in connection with the Services (collectively, the “Company IP”) are owned by or licensed to the Company, its affiliates or applicable licensors.

No ownership interest in the Company IP is transferred to the Boss. Except for the limited rights expressly granted under these Terms, the Boss shall not acquire or claim any rights in the Company IP.

Third-party games, software, AI tools, platforms, integrations, content, data and services remain the property of their respective owners and may be subject to additional terms and policies.

The Boss retains ownership of trademarks, logos, branding, content, marketing materials, data and other original materials supplied by or on behalf of the Boss in connection with the Services (collectively, the “Boss Materials”).

The Boss represents and warrants that it has all rights and permissions necessary for the Company to use the Boss Materials as permitted by these Terms and that the Boss Materials do not infringe any third-party rights or applicable law.

The Company may use the Boss's name, trademarks, logos, branding and publicly available information to identify and promote the Boss, Boss Portal, Program and Services, including in directories, websites, social-media channels, case studies and other promotional materials, unless otherwise agreed in writing.

The Company may make reasonable technical or design-related changes to the Boss Materials, including resizing, cropping, reformatting, translating or adapting them.

The Company may retain copies of the Boss Materials after termination where reasonably necessary for legal, regulatory, compliance, security, recordkeeping, dispute-resolution, archival or evidentiary purposes.

The Boss shall not use, copy, modify, distribute, publish, commercialise, reverse engineer, extract, scrape or otherwise exploit any Company IP except as expressly permitted by these Terms or with the Company's prior written consent.

17. Availability and Third-Party Services

The Services depend on internet infrastructure, blockchain networks, smart contracts, gaming providers, payment services, AI providers, social-media platforms and other third-party technologies.

The Company does not guarantee uninterrupted or error-free availability.

The Company may add, remove, modify, replace, suspend or discontinue features, games, integrations, providers or functionality where reasonably necessary for technical, commercial, legal, regulatory or security reasons.

The Company shall not be responsible for outages, delays, failures or restrictions attributable to third-party services outside its reasonable control.

18. Disclaimers

To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

The Company does not warrant that:

  • participation in the Program will be profitable;
  • any particular number of users will visit or use a Boss Portal;
  • any marketing activity will achieve particular results;
  • any Boss Portal will remain continuously available;
  • any third-party platform will approve advertising or content;
  • AI-generated content will be accurate or suitable; or
  • any digital asset will retain or increase its value.

The Boss participates in the Program as an independent commercial decision and bears the commercial risks associated with its own marketing and promotional activities.

19. Limitation of Liability

To the fullest extent permitted by applicable law, the Company, its affiliates, directors, officers, employees, contractors and service providers shall not be liable for any indirect, incidental, special, consequential or punitive loss or damage, including loss of profits, revenue, business opportunities, goodwill, anticipated savings or data.

The Company shall not be liable for losses resulting from:

  • the Boss's marketing activities;
  • actions of Sub-Partners, affiliates or influencers;
  • suspension by advertising or social-media platforms;
  • AI-generated content;
  • third-party service failures;
  • blockchain network events;
  • changes in digital-asset value;
  • unauthorised use of the Boss's account resulting from the Boss's failure to protect credentials; or
  • regulatory or legal action arising from the Boss's breach of applicable law or these Terms.

To the extent permitted by applicable law, the Company's aggregate liability arising from or relating to these Terms shall not exceed the amount of fees paid directly by the Boss to the Company during the six (6) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

20. Indemnification

The Boss shall defend, indemnify and hold harmless the Company, its affiliates and their respective directors, officers, employees and contractors from claims, losses, liabilities, fines, penalties, damages and reasonable costs arising from:

  • breach of these Terms;
  • unlawful or non-compliant marketing conducted by or on behalf of the Boss;
  • content or materials supplied by the Boss;
  • infringement of third-party rights by the Boss;
  • actions of Sub-Partners, affiliates, influencers or marketing providers engaged by the Boss;
  • misuse of AI Tools or connected third-party accounts;
  • fraud or manipulation attributable to the Boss; or
  • violation of applicable law by the Boss.

21. Suspension and Termination

21.1 Suspension

The Company may immediately restrict, suspend or block access to an account, Boss Portal, subdomain, AI Tool, payment or other functionality where the Company reasonably suspects:

  • breach of these Terms;
  • fraud or Abnormal Activity;
  • unlawful marketing;
  • security risk;
  • sanctions or AML concerns;
  • manipulation of compensation or traffic;
  • regulatory risk; or
  • material reputational or commercial risk.

Where appropriate, the Company may request information or remediation before restoring access.

21.2 Termination by the Company

The Company may immediately terminate participation where the Boss:

  • materially breaches these Terms;
  • engages in fraudulent, deceptive or manipulative activity;
  • targets Restricted Jurisdictions;
  • makes false gaming-licence or regulatory representations;
  • materially misrepresents G Coin;
  • fails to provide required compliance information;
  • exposes the Company or Program to material legal, regulatory, security or reputational risk; or
  • repeatedly violates Company policies after notice.

The Company may also discontinue the Program or terminate a Boss's participation for legitimate commercial or operational reasons upon reasonable notice where practicable.

21.3 Termination by the Boss

The Boss may terminate participation at any time by requesting closure of its Boss Portal or account through the functionality made available by the Company or by otherwise notifying the Company.

Termination becomes effective when the relevant account or Boss Portal is deactivated by the Company.

21.4 Effect of Termination

Upon termination:

  • the Boss's right to access and use the Services ends;
  • the Boss Portal and associated Company-controlled subdomain may be disabled, reclaimed or reassigned;
  • the Boss must cease representing itself as participating in the Program;
  • Company intellectual property must no longer be used except where otherwise authorised;
  • connected AI or social-media integrations may be disconnected; and
  • amounts properly accrued before termination remain subject to the applicable compensation terms.

Where termination results from fraud, manipulation or a material breach affecting the validity of traffic, referrals, compensation or incentives, the Company may withhold or adjust amounts attributable to the affected activity.

Termination does not affect accrued rights or provisions intended by their nature to survive termination.

22. Privacy and Data Protection

Personal data collected through the Website and Services is processed in accordance with the Company's Privacy Policy.

Use of cookies and similar technologies is governed by the Company's Cookie Policy.

Where a Boss activates integrations, AI Tools or connected third-party services, relevant information may be transmitted to and processed by applicable service providers as described in the Privacy Policy and the functionality presented to the Boss.

The Boss is independently responsible for ensuring that any personal data collected or processed through its own marketing activities is handled in accordance with applicable data-protection laws.

23. Changes to the Services and Terms

The Company may amend these Terms from time to time to reflect changes to:

  • the Program or Services;
  • legal or regulatory requirements;
  • licensing requirements;
  • technology;
  • security practices;
  • third-party providers; or
  • commercial arrangements.

Material changes will be communicated through the Website, Platform, Boss dashboard, email or another reasonable method.

Unless an earlier effective date is required for legal, regulatory or security reasons, material changes will take effect from the date specified in the notice.

Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

If the Boss does not agree to a material amendment, the Boss must discontinue participation in the Program.

24. Notices

The Company may communicate with the Boss using the contact information associated with the Boss's account or through notices displayed through the Website, dashboard or Services.

The Boss is responsible for maintaining accurate contact information.

Formal notices to the Company may be sent to:

Play Media Limited

Hamchako, Mutsamudu

Autonomous Island of Anjouan

Union of Comoros

Email: support@playmedialimited.com

25. Assignment

The Boss may not assign, transfer or otherwise dispose of its rights or obligations under these Terms without the Company's prior written consent.

The Company may assign or transfer its rights and obligations under these Terms to an affiliate or successor in connection with a reorganisation, merger, acquisition, sale of business or transfer of the relevant business or technology.
